a. Terms of Business: these general terms and conditions of business of CBOX Containers Germany GmbH.
b. Contract: the contract concluded between the Customer and CBOX Containers Germany GmbH.
c. Customer: any natural person, legal entity or partnership with legal capacity that makes an offer to the Contractor or is the Contractor's contractual counterparty.
d. Contractor: CBOX Containers Germany GmbH, a limited liability company under German law.
e. Goods: all materials, objects, tools, vehicles and containers the Contractor uses, rents out, sells or otherwise makes available in the performance of its activities, in the broadest sense and however named, which have been brought under the Customer's control by or on behalf of the Contractor.
f. Entrepreneur (Unternehmer): a natural person, legal entity or partnership with legal capacity acting, when concluding the Contract, in the exercise of its trade, business or profession (§ 14 BGB).
g. Consumer (Verbraucher): any natural person concluding the Contract for purposes that are predominantly outside that person's trade, business or profession (§ 13 BGB).
2.1. These Terms of Business govern all offers, acceptances of orders and contracts of the Contractor, except insofar as the Contract expressly provides otherwise or their application to the Goods or the Contract is not possible.
2.2. In addition, the statutory provisions apply to the carriage of goods by road, in particular §§ 407 et seq. HGB for national carriage and the Convention on the Contract for the International Carriage of Goods by Road (CMR) for cross-border carriage. The CMR applies mandatorily and cannot be set aside by these Terms of Business.
2.3. Where these Terms of Business conflict with mandatory provisions of carriage law, the mandatory provisions prevail. In all other respects these Terms of Business prevail.
2.4. These Terms of Business govern the legal relationship between the Customer and the Contractor and form an integral part of the offer and of the (future) Contract.
2.5. Deviating, conflicting or supplementary terms of the Customer do not become part of the Contract, even if the Contractor does not separately object to them or performs without reservation in the knowledge of such terms. They apply only insofar as the Contractor has expressly consented to their application in text form.
2.6. Individual agreements made with the Customer in a particular case always take precedence over these Terms of Business (§ 305b BGB). A contract in text form is decisive for the content of such agreements.
2.7. The Contract will not be amended during its term unless the Customer and the Contractor have agreed the amendment in text form.
3.1. All offers of the Contractor, in whatever form, are without commitment and may be revoked at any time, even where they state a period for acceptance. Orders placed by the Customer and the Customer's acceptance of offers constitute a binding offer and bind the Contractor only upon confirmation under clause 3.3.
3.2. Oral commitments and agreements made with the Contractor's staff bind the Contractor only if and to the extent the Contractor has accepted them in the manner set out below.
3.3. The Contract comes into existence only upon the Contractor's express order confirmation in text form, or at the moment the Contractor begins performance of the order. Earlier deviating arrangements not included in the order confirmation do not apply unless the Contractor has expressly consented to them in text form after the order confirmation.
3.4. If the Customer does not notify objections in text form within five (5) working days of receipt of the order confirmation, the order confirmation is deemed a complete and accurate reflection of the Contract. This clause does not apply to Consumers.
3.5. The Customer may not transfer rights and obligations under the Contract to third parties without the Contractor's express consent in text form. § 354a HGB remains unaffected.
3.6. Where several Customers conclude a Contract jointly with the Contractor, they are jointly and severally liable for performance of the contractual obligations unless expressly agreed otherwise in text form.
3.7. Unless agreed otherwise, the Contractor may perform the Contract at its reasonable discretion, including by engaging third parties or by rendering partial performances, to the extent this is reasonable for the Customer.
3.8. The Contractor may transfer its rights under the Contract to third parties. A transfer of obligations requires the Customer's consent.
3.9. If the Contractor fails to perform its obligations under the Contract, or fails to do so in time or in full, the Customer has the statutory remedies.
4.1. Unless expressly agreed otherwise in text form, all prices are exclusive of statutory VAT and exclusive of the cost of transport, administration, packaging, insurance, installation and public levies imposed under national or international rules. These costs and levies are invoiced to the Customer separately.
4.2. Unless the parties have agreed a different period in text form, all amounts owed to the Contractor are payable within fourteen (14) days of the invoice date without deduction, by transfer to an account of the Contractor.
4.3. If the Customer does not pay when due, the Customer is in default without further reminder. During default the debt bears interest. The default interest rate is five (5) percentage points above the base rate for transactions involving a Consumer, and nine (9) percentage points above the base rate in all other cases (§ 288(1) and (2) BGB). Where the Customer is an Entrepreneur, the Contractor is additionally entitled to a lump sum of EUR 40.00 (§ 288(5) BGB); this lump sum is set off against damages owed to the extent the loss consists of costs of legal action. The Contractor reserves the right to claim further loss caused by default, in particular legal costs actually incurred; the Customer may prove that no loss, or a substantially lower loss, has occurred.
4.4. Payments by the Customer are applied first to costs, then to interest and last to the principal, with older claims settled before newer ones. § 366(1) BGB remains unaffected.
4.5. If the Customer fails to pay or otherwise culpably breaches its contractual obligations, the Contractor may, after a reasonable additional period has expired without result, withdraw from the Contract or terminate it for cause and demand the return of all Goods owned by the Contractor and held by the Customer. No additional period need be set where the statutory provisions dispense with it.
4.6. The Customer may set off only counterclaims that are undisputed or have been finally determined by a court. The Customer has a right of retention only to the extent its counterclaim arises from the same contractual relationship or is undisputed or finally determined by a court. Further statutory rights of the Customer, in particular under § 320 BGB, remain unaffected.
5.1. The Customer must inform the Contractor without undue delay of any change to its address, telephone number or e-mail address.
6.1. All prices are based on cost price at the date of the order confirmation. If cost price increases after the order confirmation, in particular through changes in exchange rates, in governmental or international rules, or through increases in raw material or material prices, the Contractor may adjust the agreed prices in line with the actual cost increase. The Contractor informs the Customer of this without undue delay in text form and evidences the cost increase on request. If the price increases by more than 10%, the Customer may withdraw from the Contract within eight (8) days of receipt of the notice. Vis-à-vis Consumers, a price increase is excluded where delivery or performance takes place within four (4) months of conclusion of the Contract (§ 309 No. 1 BGB). The Contractor passes on price reductions in the same way where cost price falls correspondingly.
6.2. Prices for work performed by the Contractor are calculated on an hourly basis. Work before 07:30 and after 16:00, and on Saturdays, Sundays and public holidays, is subject to the surcharges set out in the Contractor's price list.
6.3. Prices for the rental and provision of Goods and personnel are calculated on an hourly basis; time spent transporting Goods and personnel between the Contractor's place of business and the place of work is charged on an hourly basis.
6.4. Where the rental period exceeds one (1) year, the rent is adjusted on the basis of the Consumer Price Index for Germany published by the Federal Statistical Office (VPI, base 2020 = 100). The adjusted rent is the rent at the start of the (first) rental period, multiplied by the index figure for the calendar month four calendar months before the month of adjustment, divided by the index figure for the calendar month four calendar months before the start of the first rental period. Adjustment operates in both directions. The provisions of the German Price Clause Act (PrKG) remain unaffected.
7.1. Carriage of the Goods to the location designated by the Customer is deemed effected once the Goods have been delivered at that location.
7.2. Where the parties have not agreed a delivery date in text form, the Contractor may determine it unilaterally at its reasonable discretion. Statements as to the day and time of installation are approximate. Where no time has been agreed, the Contractor may deliver on the agreed day or within the agreed period at any time between 07:30 and 16:00.
7.3. The delivery period is extended by the period during which the Customer fails to perform due obligations under the contractual relationship, and by the period during which performance is delayed by circumstances for which the Contractor is not responsible.
7.4. Additional costs arising because the destination or the collection point has no connection to the public road network, or cannot be adequately reached by the transport means used, are borne by the Customer.
7.5. Stated or agreed delivery times are not fixed dates unless expressly agreed otherwise in text form. If a delivery time is exceeded, the Customer must set the Contractor a reasonable additional period in text form. The Customer's statutory rights in the event of default and the liability regime in clause 12 remain unaffected.
7.6. If the Customer is in default of acceptance or culpably breaches other duties to cooperate, the Contractor may claim the resulting loss including additional expenditure. The risk of accidental loss and accidental deterioration passes to the Customer when default of acceptance begins.
7.7. Site, ground and access. The Customer ensures that the installation site is level, sufficiently load-bearing and suitable for installation of the Goods, and that access is sufficiently paved, wide enough and freely accessible for the transport and lifting vehicles used. Before delivery the Customer must disclose to the Contractor the position of underground pipes, cables, drains, tanks, cavities, cisterns and other obstacles in the area of the installation site and the access route. If that disclosure is not made or is incomplete, the Contractor is not liable for damage to the ground, to paved surfaces, to the access route or to underground installations. Liability under clause 12.1 remains unaffected.
7.8. If the Goods cannot be delivered, installed or collected for reasons attributable to the Customer, the Customer bears the cost of the abortive run, of waiting time and of a further run in accordance with the Contractor's price list valid at the conclusion of the Contract.
7.9. Official permits. The Customer is responsible for obtaining in good time and at its own cost, and for maintaining throughout the term of the Contract, all official permits required for the installation, operation and continued presence of the Goods, in particular building permits, special-use permits and traffic orders. The Contractor owes no assessment of whether a permit can be obtained and no advice on the subject. If required permits are not obtained, are refused or are revoked, this does not affect the Customer's obligations under the Contract. The Customer indemnifies the Contractor against resulting third-party claims and against official measures and fines.
8.1. The Contractor retains title to all Goods delivered and made available until the Customer has settled all claims arising from the ongoing business relationship, in particular:
a. the consideration for Goods delivered under the Contract or on the basis of additional work; and/or
b. the consideration for other services rendered by the Contractor under the Contract or on the basis of additional work; and/or
c. amounts owed, including interest and costs, for non-performance of contractual obligations.
Vis-à-vis Consumers, the Contractor retains title only until the purchase price for the relevant Goods has been paid in full.
8.2. If the Customer processes, combines or mixes the goods subject to retention of title, it does so at all times for the Contractor as manufacturer within the meaning of § 950 BGB, without this creating any obligation for the Contractor. If the Contractor's title lapses through combination, mixing or processing, the Contractor acquires co-ownership of the new item in the ratio of the invoice value of the goods subject to retention of title to the invoice value of the other processed items. The Customer holds the sole or co-ownership in safe custody for the Contractor free of charge.
8.3. Until revoked, the Customer may resell the goods subject to retention of title in the ordinary course of business. The Customer hereby assigns to the Contractor all claims arising from the resale, up to the invoice value of the goods subject to retention of title, together with all ancillary rights; the Contractor accepts the assignment. Until revoked, the Customer remains authorised to collect the assigned claims. The Contractor may revoke the collection authority if the Customer does not duly meet its payment obligations.
8.4. The Customer may neither pledge the goods subject to retention of title nor transfer them by way of security. In the event of attachment or other third-party access to the goods, the Customer must inform the Contractor without undue delay and point out the Contractor's title.
8.5. If the realisable value of the securities exceeds the Contractor's claims by more than 10%, the Contractor releases securities of its choice at the Customer's request.
8.6. If the Customer is in default of payment, the Contractor may demand return of the goods subject to retention of title after withdrawing from the Contract. Taking back the Goods constitutes a withdrawal from the Contract only if the Contractor expressly declares it.
Unless agreed otherwise, the following applies in addition to the sale of Goods:
9.1. The Goods are sold in the condition they are in at handover. In the case of used containers and other used Goods, the condition corresponds to their age and normal state of use; immediate fitness for a particular purpose is owed only where expressly agreed in text form.
9.2. The Customer removes brands, numbers and other marks of previous owners at its own cost. If the Contractor removes them at the Customer's request, the Customer bears the associated costs.
9.3. If import duties or other duties become payable on the Goods inside or outside Germany, they are borne by the Customer. If the Contractor is held liable for them, the Customer indemnifies the Contractor accordingly.
9.4. Without prejudice to the retention of title under clause 8, risk passes to the Customer on handover of the Goods. On a sale involving carriage to an Entrepreneur, risk passes on handover to the forwarder, carrier or other person designated to carry out the shipment (§ 447 BGB).
9.5. Where the Customer is an Entrepreneur, it must examine the Goods without undue delay after delivery and give notice of apparent defects without undue delay in text form; latent defects must be notified without undue delay after discovery (§ 377 HGB). If the Customer fails to give notice, the Goods are deemed approved.
9.6. The limitation period for claims based on defects is one (1) year from delivery vis-à-vis Entrepreneurs. On the sale of used Goods to a Consumer, the limitation period is one (1) year from delivery provided this is expressly and separately agreed and the Consumer was specifically informed of it before making its contractual declaration (§ 476(2) BGB); otherwise the statutory period applies. Claims based on intent, fraudulent concealment, injury to life, body or health, a guarantee, or the Product Liability Act remain unaffected; the statutory periods apply to those.
9.7. Condition of used containers. The condition of used containers is determined exclusively by the condition grade stated in the offer or in the order confirmation. Surface rust, dents, scratches, colour deviations, repaired areas, welds, odours and markings and lettering of previous owners are contractually compliant in used containers and do not constitute a defect. Fitness for sea transport is owed only where the container is expressly sold with a valid CSC plate. Fitness for a particular purpose, in particular for the storage of specific goods, for the presence of persons or for structural use, is owed only to the extent expressly agreed in text form.
In addition to the contractual provisions on renting out Goods, the following applies:
10.1. The rented Goods remain the property of the Contractor at all times. The Customer may not remove stickers, plates or other marks indicating the Contractor's ownership.
10.2. Where the rental period exceeds one (1) month, invoicing is monthly. The monthly rent is payable in advance by the third working day of the month concerned.
10.3. On each handover of the rented Goods to the Customer and on each return to the Contractor, a handover report is drawn up and signed by or on behalf of the Customer, recording the state and condition of the Goods. The report documents the condition of the Goods; the Customer may prove that the condition differed from the documentation.
10.4. From handover, the Customer bears the risk of maintenance and is liable for damage to the rented Goods until their return, excluding normal wear and tear. § 538 BGB remains unaffected. The Customer is not liable for defects for which it is not responsible.
10.5. If the rented Goods are returned damaged, the Contractor may claim compensation amounting to at least the cost of repair plus the loss of rental income for the duration of the repair. The Customer may prove that no loss, or a substantially lower loss, has occurred.
10.6. Without the Contractor's express consent in text form, the Customer may not sell, sub-let, allow third parties to use, pledge or otherwise encumber the rented Goods. The Customer ensures that the rented Goods are not attached or encumbered with third-party rights, and informs the Contractor without undue delay of any third-party access.
10.7. The Customer treats the rented Goods with due care, secures them effectively and uses them only for their intended purpose, observing the operating and procedural instructions.
10.8. Insurance of the rented item. From handover until return, the Customer insures the rented item at its own cost at replacement value against fire, storm, water damage, theft, burglary, vandalism and transport damage, and evidences the insurance in text form at the Contractor's request. The Customer hereby assigns its claims under that insurance to the Contractor up to the value of the rented item; the Contractor accepts the assignment. If the Customer fails to comply with the insurance obligation, it is liable for loss of and damage to the rented item irrespective of fault, to the extent the loss would have been covered had the insurance been in place.
10.9. Return. On termination of the rental relationship the rented item must be returned swept clean, cleared and free of fittings, lettering, stickers and residues. If the Customer does not remove them, it bears the cost of clearance, cleaning and repair. The cost of residues of hazardous substances and their disposal is borne by the Customer in all cases.
10.10. Late return. If the Customer does not return the rented item after termination of the rental relationship, the Contractor may claim compensation for continued use for the period of withholding, in the amount of the rent last agreed (§ 546a BGB). The Contractor reserves the right to claim further loss; the Customer may prove that no loss, or a substantially lower loss, has occurred.
11.1. If the Contractor is prevented from performing its obligations by circumstances outside its reasonable control (force majeure), those obligations are suspended for the duration of the force majeure plus a reasonable start-up period.
11.2. If the force majeure lasts longer than two (2) months, either party may terminate the Contract in whole or in part in text form or withdraw from it.
11.3. Force majeure means any circumstance outside the Contractor's control that makes performance of its obligations wholly or partly, temporarily or permanently impossible or unreasonably difficult. This includes in particular strikes and lawful lock-outs, epidemics and officially ordered operating restrictions, civil unrest, boycotts, blockades, sabotage, fire, lightning strike, machinery damage, business interruptions, transport obstacles and the withdrawal of official permits, whether these occur at the Contractor, at third parties or at suppliers. Unforeseeability at the time the Contract was concluded is not required.
11.4. The Contractor informs the Customer without undue delay of the occurrence and the expected duration of the force majeure.
12.1. The Contractor is liable without limitation:
a. for intent and gross negligence;
b. for damage arising from injury to life, body or health based on a negligent or intentional breach of duty by the Contractor, its legal representatives or its vicarious agents;
c. under the provisions of the Product Liability Act;
d. to the extent the Contractor has given a guarantee or fraudulently concealed a defect.
12.2. In the event of slightly negligent breach of a material contractual obligation (cardinal obligation) whose fulfilment makes proper performance of the Contract possible in the first place and on whose observance the Customer may regularly rely, the Contractor's liability is limited in amount to the foreseeable loss typical for this type of contract at the time the Contract was concluded.
12.3. In all other respects the Contractor's liability for slight negligence is excluded.
12.4. Where the Contractor's liability is excluded or limited under the above provisions, this also applies to the personal liability of its legal representatives, employees and vicarious agents.
12.5. The Contractor is not liable for damage caused by acts or assembly work of the Customer or third parties after delivery, by improper use of the Goods, or by their subsequent unsuitability for the purpose pursued by the Customer.
12.6. Where the Customer is an Entrepreneur, it must notify damage in text form without undue delay after discovery and do everything that can reasonably be expected of it to mitigate the loss. Clause 9.5 remains unaffected.
12.7. Claims of the Customer against the Contractor, other than claims based on defects under clause 9.6, become time-barred one (1) year after the statutory start of the limitation period vis-à-vis Entrepreneurs. This does not apply to claims under clause 12.1; the statutory limitation periods apply to those.
12.8. The above provisions do not entail any change in the statutory burden of proof to the Customer's detriment.
13.1. To the extent permitted by law, the Customer indemnifies the Contractor against third-party claims arising from or in connection with the performance of the Contract concluded between the Customer and the Contractor, unless the loss is based on a breach of duty for which the Contractor is responsible or on a tortious act of the Contractor.
13.2. If the loss is partly attributable to a circumstance for which the Customer is responsible, the Customer bears the corresponding share of the loss.
13.3. Employees, agents and representatives of the Contractor may also rely on this clause vis-à-vis the Customer.
14.1. If, after conclusion of the Contract, it becomes apparent that the Contractor's claim to the counter-performance is jeopardised by the Customer's lack of capacity to perform, the Contractor may, under § 321 BGB, refuse performance and demand advance payment or reasonable security, for example a guarantee from a credit institution licensed in the European Union.
14.2. If the Customer fails to perform one or more of its obligations in time or properly, the Contractor may withhold its own performance in accordance with the statutory provisions until the Customer has paid the amounts owed in full, including interest and costs.
15.1. Rental contracts may be terminated by either party in text form on thirty (30) days' notice to the end of the rental period. Absent notice, the rental contract is extended by a period of the same length. The right to terminate for cause remains unaffected.
15.2. The costs associated with termination of the Contract, such as dismantling and transport, are borne by the Customer to the extent they are contractually agreed or the Customer is responsible for the termination.
15.3. The Contractor's liability for loss suffered by the Customer as a result of measures taken by the Contractor in response to a breach of duty by the Customer is governed by clause 12.
16.1. If the Customer does not pay the purchase price for Goods delivered and, where applicable, installed, the Contractor may withdraw from the Contract under clause 8.6 and demand the return of the Goods. In the event of the Customer's insolvency or the opening of comparable proceedings, the insolvency provisions apply in addition, in particular §§ 47, 107 InsO.
16.2. Taking back the Goods does not affect the Customer's obligation to compensate the Contractor for the loss incurred. The Contractor credits the value of the Goods taken back.
17.1. Anyone present on the Contractor's premises or at the place of performance must observe the instructions of the Contractor and of the authorities and the applicable safety rules. This also applies to transport means brought onto the site. The Contractor's liability is governed by clause 12.
18.1. On the Customer's instruction in text form, and at the Customer's cost and risk, the Contractor takes out insurance for the benefit of the Customer; the instruction must specify the risks to be insured in detail. The Contractor may refuse to take out insurance and informs the Customer of this without undue delay.
19.1. Clause 4.6 governs set-off and the exercise of rights of retention by the Customer.
20.1. If individual provisions of these Terms of Business or of the Contract are or become wholly or partly invalid, the validity of the remaining provisions is unaffected.
20.2. The statutory provisions apply in place of an invalid provision (§ 306(2) BGB). Where necessary, the parties will negotiate a valid replacement provision in a reasonable manner.
21.1. The legal relationship between the Contractor and the Customer is governed exclusively by the law of the Federal Republic of Germany, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
21.2. Where the Customer is a Consumer, this choice of law applies only to the extent that it does not deprive the Consumer of the protection afforded by mandatory provisions of the law of the state of the Consumer's habitual residence (Art. 6(2) Rome I Regulation).
21.3. These Terms of Business are drawn up in German. Where they are translated into other languages, the German version prevails.
22.1. The place of performance for delivery and payment is Hamburg, unless expressly agreed otherwise in text form.
22.2. Where the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from and in connection with these Terms of Business and the contracts governed by them is Hamburg (§ 38 ZPO). This also applies to documentary, bill of exchange and cheque proceedings and to interim relief proceedings.
22.3. The Contractor remains entitled to sue the Customer at the Customer's general place of jurisdiction.
22.4. Vis-à-vis Consumers, the statutory places of jurisdiction apply.
23.1. The Customer is aware of and agrees that title to the rented item may be transferred to a third party, or that the rented item may be or become transferred by way of security or pledged to a third party to secure that party's claims against the Contractor under rental or finance lease agreements or on any other legal ground.
23.2. If the third party demands surrender of the rented item because the Contractor has not met its obligations towards that party, the Customer must surrender the rented item to the third party without being able to assert a right of retention. The existing rental contract then ends with immediate effect. Surrender takes place at the third party's seat or at a location designated by it. The Customer's claims against the Contractor arising from early termination remain unaffected.
23.3. If the situation under clause 23.2 arises and the Customer wishes to continue using the rented item, it is obliged, on the third party's first request, to conclude a rental contract with that party on identical terms for the remaining term of the existing rental contract.
23.4. The provision in favour of the third party contained in this clause may be revoked neither by the Customer nor by the Contractor.
24.1. The Contractor processes the Customer's personal data in accordance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). Details of purposes, legal bases, recipients, storage periods and data subject rights are set out in the Contractor's privacy notice.
25.1. The Customer complies with all applicable foreign trade, customs and export control rules, in particular Regulation (EU) 2021/821 (the Dual-Use Regulation), the German Foreign Trade Act and Foreign Trade Ordinance, and the sanctions and embargo rules of the European Union, the Federal Republic of Germany and the United Nations.
25.2. The Customer warrants that neither it nor its shareholders, beneficial owners or customers are listed on a relevant sanctions list, and that the Goods will not be supplied, passed on or used, directly or indirectly, to listed persons or organisations or in sanctioned territories.
25.3. The Contractor may suspend performance of the Contract or withdraw from it where there are concrete indications of a breach of this clause or where required official permits are not granted. The Customer's claims for damages arising from such suspension or withdrawal are excluded; clause 12.1 remains unaffected.
25.4. The Customer indemnifies the Contractor against claims, fines and sanctions based on the Customer's breach of this clause.
26.1. Consumers have a statutory right of withdrawal under §§ 312g, 355 BGB in the case of contracts concluded by distance communication or away from business premises. Entrepreneurs have no right of withdrawal.
Withdrawal instruction
Right of withdrawal. You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day on which you, or a third party other than the carrier indicated by you, took possession of the goods. To exercise your right of withdrawal you must inform us
CBOX Containers Germany GmbH, Porgesring 29, 22113 Hamburg, Germany, telephone: +49 39 2929 29500, e-mail: sales@cboxcontainers.com
by a clear statement (for example a letter sent by post or an e-mail) of your decision to withdraw from this contract. You may use the attached model withdrawal form, but this is not obligatory. To meet the withdrawal deadline it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal. If you withdraw from this contract, we will reimburse all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we are informed of your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
You shall send back the goods or hand them over to us without undue delay and in any event not later than fourteen days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of fourteen days has expired. You will bear the direct cost of returning the goods. The cost is estimated at a maximum of approximately [AMOUNT TO BE INSERTED] EUR. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
Exclusion of the right of withdrawal. The right of withdrawal does not exist for contracts for the supply of goods that are not prefabricated and for the manufacture of which an individual choice or decision by the consumer is decisive, or that are clearly tailored to the consumer's personal requirements (§ 312g(2) No. 1 BGB). This covers in particular containers that are converted, cut, painted, lettered or fitted out at the consumer's request.
