CBOX Containers International FZCO | General Terms and Conditions of Business

Last updated: 5 October 2026

Language precedence

These Terms of Business are issued in both English and Arabic. In the event of any discrepancy or inconsistency between the English and Arabic versions, the English version shall prevail, save where a mandatory provision of UAE law requires the Arabic version to prevail.

1

1 DEFINITIONS

a. Terms of Business: these general terms and conditions of business of CBOX Containers International FZCO.

b. Contract: the contract entered into by and between a party and CBOX Containers International FZCO.

c. Customer: any person (whether a natural person or a legal entity) making an offer to CBOX Containers International FZCO or the other party to the contract with CBOX Containers International FZCO.

d. Contractor: CBOX Containers International FZCO, a Free Zone Company (FZCO) incorporated under the laws of the United Arab Emirates and registered with the Dubai Integrated Economic Zones Authority (IFZA - Dubai Silicon Oasis), having its registered office at Premises No. DSO-IFZA, IFZA Properties, Dubai Silicon Oasis, Dubai, United Arab Emirates and holding trade licence number 63047, issued by the Dubai Integrated Economic Zones Authority (DIEZA / IFZA).

e. Goods: all materials, objects, tools, vehicles and containers the Contractor uses, rents out, sells or otherwise makes available in the performance of its activities, in the broadest sense and however named or specified, which have been brought under the Customer's control by or on behalf of the Contractor.

2

2 FORMATION OF CONTRACT

2.1 These Terms of Business govern all offers and quotations made, business accepted and Contracts concluded, except insofar as expressly amended by a Contract or insofar as their application is not possible in relation to the Goods or the Contract.

2.2 The following conditions will apply in addition to these Terms of Business:

a. for rental services: the Contractor's specific terms and conditions for rental (if any), as notified to the Customer in writing;

b. for domestic road carriage within the United Arab Emirates: any additional carriage terms separately agreed between the Parties in writing.

2.3 In the event of any conflict between these Terms of Business and the Contractor's terms and conditions of rental referred to in Article 2.2(a), the latter will prevail. In the event of any conflict between these Terms of Business and any carriage terms referred to in Article 2.2(b), these Terms of Business will prevail.

2.4 These Terms of Business set out the legal relationship between the Customer and the Contractor and form an integral part of the offer, and of the (future) Contract.

2.5 The Contractor is the sole party entitled to rely on derogating and/or supplemental stipulations and/or its own terms and conditions, and consequently such stipulations and conditions apply only if and to the extent the Contractor has expressly accepted them in writing, or if they have been expressly agreed upon by the Parties in writing.

2.6 The Contract will not be amended during its term unless the Customer and the Contractor have agreed on such amendment in writing.

3

3 QUOTATIONS AND CONTRACTS

3.1 All offers and quotations issued by the Contractor, in whatever form, are without commitment and may be revoked at any time, even if a period for acceptance is stated. Instructions and orders given, and offers made (or accepted) by the Customer, are considered irrevocable but are not binding on the Contractor until confirmed in accordance with Article 3.3.

3.2 Oral commitments and agreements made with the Contractor's staff will not be binding on the Contractor unless and to the extent the Contractor has accepted such commitments or agreements in the manner set out below.

3.3 The Contractor's acceptance of an instruction and/or order given, and/or of an offer made (or accepted) by the Customer, will constitute a separate Contract between the Contractor and the Customer. The Contract is concluded only upon the Contractor's express written confirmation of its acceptance, by signing an order confirmation, or from the moment the Contractor has commenced performance of the Contract in accordance with the order or invoice. Any earlier arrangements not included in the Contractor's signed written confirmation will not apply, save to the extent the Contractor has specifically agreed to such arrangements in writing following the order confirmation.

3.4 If the Customer fails to notify its objections in writing within five (5) working days of the order confirmation being sent, the order confirmation will be deemed a full and accurate representation of the Contract.

3.5 The Customer may not assign its rights and obligations under any Contract to a third party without the Contractor's express written permission.

3.6 If a Contract is concluded between the Contractor and two or more Customers, those Customers will be jointly and severally liable for the fulfilment of their obligations under the Contract, unless expressly otherwise agreed in writing.

3.7 Save as otherwise agreed between the Parties, the Contractor is entitled to perform the Contract as it deems appropriate, whether by engaging third parties or by executing the Contract in separate parts.

3.8 The Contractor expressly reserves the right to assign all its rights under the Contract to a third party.

3.9 If and for as long as the Contractor fails to fulfil its obligations under the Contract, or fails to do so within the agreed time or in full, the Customer is entitled to suspend performance of its obligations under the Contract.

4

4 PAYMENT

4.1 Unless expressly otherwise agreed in writing, all prices are exclusive of VAT and of costs for transport, administration, packaging, insurance, installation, and any levies imposed or to be imposed by any government or under applicable regulations, such costs and levies expressly including any fines and penalties imposed in connection with the performance of the Contract. Unless expressly otherwise agreed in writing, all such costs will be charged to the Customer immediately and in full (including VAT, where applicable).

4.2 Unless the Parties have agreed in writing on a different term, all amounts owed by the Customer to the Contractor are payable within fourteen (14) days of the invoice date, in cash or by transfer to a bank account held by the Contractor.

4.3 If the Customer fails to make payment, such failure will constitute an event of default without any prior notice of default being required, and the Customer will pay to the Contractor, as from the due date, interest on the overdue amount at the maximum rate permitted for commercial transactions under applicable UAE law (including, where applicable, the UAE Commercial Transactions Law), or, absent such a statutory maximum, at a rate of nine percent (9%) per annum. The Customer will also be liable for all judicial and extrajudicial collection costs incurred by the Contractor, in an amount equal to at least fifteen percent (15%) of the amount owed by the Customer, subject to a minimum of AED 500.

4.4 Payments made by the Customer will first be applied to reduce the costs owed, then the interest owed, and thereafter the principal sums, with older amounts payable taking precedence over newer amounts payable, notwithstanding any indication to the contrary by the Customer in the event of (partial) payment to the Contractor.

4.5 If the Customer fails to make payment or otherwise culpably breaches its obligations under the Contract, the Contractor reserves the right to terminate the Contract with immediate effect and to repossess all goods that are the Contractor's property but are held by the Customer.

4.6 The Customer will not, under any circumstances, evade its payment obligations under the Contract, whether by deduction, set-off, suspension, compensation or any other means.

5

5 CHANGE OF ADDRESS

5.1 The Customer will immediately inform the Contractor of any change in its address and/or telephone number.

6

6 PRICE CHANGES

6.1 All prices are based on the cost price as at the date of the Contractor's confirmation of the Contract. If the cost price increases after that confirmation, for instance due to exchange rate fluctuations, changes in government rules or regulations, an increase in commodity and/or material prices, or for any other reason, the Contractor is entitled to increase the agreed prices accordingly. The Contractor will inform the Customer of any such price increase in writing as soon as reasonably possible, and the Customer is required to pay the increased price. If the price is increased by more than 10% within three (3) months of the conclusion of the Contract, the Customer is entitled to terminate the Contract within eight (8) days of receiving notice of the increase and to be reimbursed by the Contractor for the costs it incurred in connection with the Contract; the Contractor will not be obliged to reimburse the Customer for any other loss and/or damage suffered as a result of such termination. The Contractor remains entitled at all times to adjust prices where a mandatory statutory price-determining factor so requires, but where the Customer qualifies as a consumer under applicable UAE consumer protection legislation, the Contractor will refrain from making such adjustment within three (3) months of the conclusion of the Contract to the extent required by that legislation.

6.2 Prices for work performed by the Contractor are based on an hourly rate. The hourly rates for work performed by the Contractor before 7:30 am and after 4:00 pm, or on Fridays, Saturdays or public holidays, will be subject to a surcharge as stated in the Contractor's price list.

6.3 Prices for the rental and/or provision of goods and staff will be calculated on an hourly rate basis, with the time spent transporting the goods and staff between the Contractor's place of business and the place of work billed at the hourly rate.

6.4 If the goods are rented out for a period exceeding one (1) year, the rent will be adjusted based on the relevant consumer price index published by the UAE Federal Competitiveness and Statistics Centre (or its successor authority), applying an adjustment formula equivalent in effect to: the adjusted rent equals the rent applicable at the commencement of the (first) rental period, multiplied by the index figure for the calendar month four calendar months prior to the month in which the rent is adjusted, divided by the index figure for the calendar month four calendar months prior to the month in which the first rental period commenced.

7

7 DELIVERY

7.1 Transportation of the Goods to the location designated by the Customer will be deemed to have been effected the moment the Goods are delivered at that location.

7.2 Unless the Parties have expressly agreed in writing on a delivery date for the Goods, the Contractor is entitled to set that date unilaterally. Any statement of the date, and, where applicable, the time of installation, will be approximate. Where the Parties have not expressly agreed a delivery time in writing, the Contractor is entitled to deliver, or cause delivery of, the Goods on the agreed day or within the agreed period at any time between 7:30 am and 4:00 pm.

7.3 Performance of the delivery obligation may in any event be suspended for as long as the Customer has yet to fulfil any obligation, for whatever reason, that it owes to the Contractor. In addition, the delivery period will be extended by the period during which performance of the Contract is delayed by any circumstance not attributable to the Contractor.

7.4 Additional costs arising because the destination or the place of collection of the Goods does not have access to the public road, or cannot be adequately reached by the relevant means of transportation, will be payable in full by the Customer.

7.5 The Contractor will not be liable for the consequences of exceeding the delivery time or any other period within which the Contractor was reasonably expected to perform an obligation under the Contract. Exceeding the delivery time will not entitle the Customer to compensation, termination of the Contract, suspension of performance, set-off, or non-performance of any of its obligations.

7.6 Any stated and/or agreed delivery times will not constitute strict deadlines unless explicitly agreed otherwise. In the event of late delivery, the Contractor must first be sent a written notice of default, allowing a reasonable period to remedy.

8

8 RETENTION OF TITLE

8.1 The Contractor will retain title to all Goods it has supplied and/or made available to the Customer for as long as the Customer has not effected:

a. payment of the consideration payable for any Goods supplied under the Contract and/or additional work; and/or

b. payment of the consideration payable for any other work performed by the Contractor under the Contract and/or additional work; and/or

c. payment of any amounts payable (including interest and costs) for failing to perform its obligations under the Contract and/or additional work.

8.2 The Contractor will not lose its retained title to Goods of which the Customer has taken receipt merely because they are processed, treated and/or assembled.

8.3 If, notwithstanding Article 8.2, the Contractor nonetheless loses title, the Customer will, at the Contractor's request, render all assistance necessary to register a security interest over the relevant Goods in favour of the Contractor in the Emirates Movable Collateral Registry, in accordance with applicable UAE secured transactions legislation (including Federal Law No. 4 of 2020 on Secured Transactions over Movable Property, as amended).

8.4 The Customer is entitled to sell Goods received from the Contractor, subject to the condition that the Customer notifies the buying customer, in good time before the sale and purchase contract is executed, of the full wording of this Article. The Customer may not effect such sale and delivery unless and until it has created a registered security interest over the relevant Goods in favour of the Contractor, at the Contractor's request. As soon as the Contractor so demands, by notice to the Customer, the right referred to in the first sentence of this Article will automatically cease to have effect.

8.5 The right referred to in Article 8.4 will automatically cease to have effect if the Customer fails to fulfil its obligations under the Contract and/or additional work. If the Customer subsequently fulfils those obligations, the right referred to in Article 8.4 revives.

9

9 SALE OF GOODS

Unless otherwise agreed, the following applies to the sale of Goods:

9.1 The Goods are sold by the Contractor in the condition they were in at the time of delivery, and the Contractor therefore does not guarantee that the Goods are ready for immediate use.

9.2 The Customer must remove any brands, numbers or other marks of previous owners from the Goods and similar items. If such brands, numbers or marks must be removed by the Contractor, the associated costs will be payable by the Customer.

9.3 If any import duties and/or other duties are found to be payable in relation to the Goods, whether within and/or outside the United Arab Emirates, they will be payable by the Customer. If the Contractor is held liable for payment of such duties, the Customer will indemnify the Contractor accordingly.

9.4 Without prejudice to the retention of title referred to in Article 8, risk in the Goods passes to the Customer upon delivery.

10

10 RENTING OUT GOODS

In addition to the terms of the Contract relating to the renting out of Goods, the following applies:

10.1 The rented Goods will at all times remain the property of the Contractor. If any sticker, plate or other mark is affixed to the Goods indicating that they are the Contractor's property, the Customer may not remove such sticker, plate or mark.

10.2 Where the rental period exceeds one (1) month, invoices will be issued monthly. Payment of the monthly rent due will be effected before the first day of each month.

10.3 On each occasion the Goods are taken into receipt by or on behalf of the Customer and when the Goods are returned to the Contractor, an inspection report will be drawn up, to be signed by or on behalf of the Customer, describing the state and condition of the Goods. By signing the inspection report, the Customer acknowledges the state and condition of the Goods as thereby conclusively established.

10.4 Upon taking receipt of the rented Goods, the Customer bears the risk of maintaining the Goods and will be liable for any damage caused to them until the rented Goods are returned to the Contractor, save for fair wear and tear.

10.5 If the rented Goods are returned to the Contractor in a damaged state or condition, the Contractor is entitled to claim compensation from the Customer, which will at least equal the cost of repairs plus the loss of rental income for the period necessary to effect the repairs.

10.6 Unless the Contractor has given its explicit written consent, the Customer may not dispose of, sub- rent, or allow third parties to (also) use, pledge or otherwise encumber the Goods. The Customer will also ensure the Goods are not encumbered with attachments or other third-party rights or encumbrances.

10.7 The Customer will look after the Goods with all due care, secure them effectively, and use them only in accordance with their designated use, while observing the applicable operation and procedure manuals.

11

11 FORCE MAJEURE

11.1 Where, due to circumstances beyond its reasonable control (force majeure), the Contractor is unable to fulfil its obligations towards the Customer, the Contractor will suspend performance of those obligations for the duration of the force majeure event.

11.2 If the force majeure event has lasted two (2) months or more, either Party is entitled to give written notice terminating the Contract in whole or in part.

11.3 Force majeure means any circumstance beyond the Contractor's control that renders performance of its obligations towards the Customer partly or fully, temporarily or permanently, impossible, or as a result of which the Contractor cannot reasonably be required to perform its obligations, irrespective of whether such circumstance was foreseeable at the time the Contract was concluded. Such circumstances will in any event include strikes, mass staff sickness, civil unrest, boycotts, blockades, sabotage, fire, lightning strikes, machinery breakdown, business interruption, impediments to and other interruptions of transportation, and withdrawal of permits or licences, irrespective of whether these occur at the Contractor's own operations or at those of relevant third parties or suppliers.

12

12 LIABILITY

12.1 The Contractor will only be liable for any damage suffered by the Customer that arises from a failure, without legal excuse, to perform its obligations under the Contract, or from wrongful conduct, if and to the extent such liability is covered by the Contractor's insurance policy, up to the amount paid out by the insurer.

12.2 If, for any reason, the insurer does not provide cover, or the damage is not covered by the insurance policy, liability will be limited to twice the invoiced sum, with a maximum of AED 10,516. If the obligations arise from a continuing performance agreement, liability will be limited to twice the annual price, with the same maximum.

12.3 Consequential damage, business interruption losses, and loss of profit, however caused, do not qualify for compensation. If the Customer wishes, it may take out insurance to cover such damage and/or loss.

12.4 The Contractor is in any event not liable for damage arising as a result of, or caused by, actions or (assembly) work performed by the Customer or third parties following delivery, or from incorrect use of the Goods, or from their subsequent unsuitability for the purpose for which the Customer acquired or used them.

12.5 If the defect results from force majeure, the Contractor will not be liable.

12.6 Entitlement to compensation is subject to the Customer notifying the Contractor in writing, by registered letter, as soon as reasonably possible following discovery of the damage and/or loss, and in any event within eight (8) days of its occurrence, and to the Customer doing everything reasonably expected of it to mitigate the damage and/or loss.

12.7 Without prejudice to the foregoing, any claim for compensation or otherwise that the Customer may have against the Contractor will in any event be time-barred upon expiry of one (1) year following the occurrence of the damage and/or loss, or earlier if the Customer has failed to hold the Contractor liable in the manner set out in the preceding paragraph within that period. Any such claim will in any event be time-barred if, following the Contractor's challenge to a notice of liability, no legal action is brought within one (1) year of the date such notice was sent.

12.8 The preceding paragraphs are without prejudice to any other provisions of these Terms of Business and/or applicable statutory provisions under which one or more of the Customer's rights become time- barred at an earlier date.

13

13 INDEMNIFICATION

13.1 To the extent permitted by law, the Customer indemnifies the Contractor against any claims by third parties arising from and/or in connection with performance of the Contract concluded between the Customer and the Contractor, save where the relevant damage and/or loss is caused by a failure, without legal excuse, of the Contractor to perform its obligations under the Contract, or by the Contractor's wrongful conduct.

13.2 If the damage and/or loss is caused in part by a circumstance attributable to the Customer, the Customer will at all times be required to pay a proportionate share of that damage and/or loss.

13.3 All subordinates, agents and/or representatives of the Contractor may invoke this Article vis-à-vis the Customer, and the Contractor may, where necessary, invoke this Article vis-à-vis third parties on the same terms as the Contractor itself.

14

14 SUSPENSION OF PERFORMANCE

14.1 Prior to fulfilling its obligations, the Contractor is entitled to demand payment in full and/or sufficient security, for example a bank guarantee issued by a bank licensed in the United Arab Emirates, from the Customer, if it appears likely that the Customer will not (be able to) perform its obligations in a timely and/or correct manner, and/or if the Customer fails to perform its obligations.

14.2 If the Customer fails to perform any of its obligations in a timely and/or correct manner, the Contractor's performance of its own obligations will be automatically and immediately suspended until the Customer has effected full payment of the amount owed to the Contractor (including all interest and costs).

15

15 TERMINATION

15.1 Either Party may terminate a rental agreement by written notice, subject to a notice period of thirty (30) days before the end of the rental period, failing which the rental agreement will be tacitly renewed for a further period of the same duration.

15.2 The Customer must indemnify the Contractor for the costs, such as disassembly and transportation costs, associated with termination of the Contract.

15.3 The Contractor will not be liable for any loss and/or damage suffered by the Customer arising from actions taken by or on the instructions of the Contractor in response to any failure on the part of the Customer.

16

16 RIGHT TO CLAIM BACK GOODS

16.1 If the Customer fails to pay the purchase price of Goods that have been delivered and, where applicable, assembled, the Contractor may, where the Customer has been declared bankrupt or insolvent, or granted protection from its creditors, under applicable UAE insolvency/bankruptcy legislation, reclaim the Goods thus delivered by written statement addressed to the Customer, within six (6) weeks of the purchase price falling due, or within sixty (60) days of the Goods being placed in the custody of the Customer or of a person acting on the Customer's behalf.

16.2 The statement referred to in Article 16.1 will terminate the (sale and purchase) Contract and cause all rights of the Customer and/or its legal successors in respect of the relevant Goods to cease to have effect.

17

17 USE OF PREMISES

17.1 Anyone present at the Contractor's premises or at the place where work is performed, including any means of transportation, will be considered to be there at their own risk, and must strictly adhere to the rules and/or instructions given, and to be given, by government authorities and the Contractor.

18

18 INSURANCE

18.1 The Contractor will take out insurance for the Customer's benefit, at the Customer's risk and expense, following written instructions from the Customer to do so, such instructions to describe in detail the risks to be insured. The Contractor will at all times be entitled to decline to take out insurance for the Customer's benefit.

19

19 SETTLEMENT OF ACCOUNTS

19.1 The Customer is not, at any time, entitled to set off any payment obligation, whether due or not, against any obligation of the Contractor.

20

20 PARTIAL NULLITY

20.1 If any term, or part of any term, of these Terms of Business or of the Contract is or is declared null and void, the remainder of that term, and of these Terms of Business generally, will remain unaffected, and the underlying Contract will remain in effect.

20.2 If any term of these Terms of Business is null and void, that term will automatically, by operation of law, be replaced by a valid term that reflects the purpose of the void term to the extent possible. The Parties undertake to consult in good faith, where necessary, on the wording of such new term.

20.3 In the event of such substitution, the remaining terms of these Terms of Business will remain in full force and effect to the extent possible.

21

21 APPLICABLE LAW

21.1 The legal relationship between the Contractor and the Customer is governed by the laws of the United Arab Emirates, including, where applicable, the laws and regulations of the Emirate of Dubai and/or of the free zone in which the Contractor is registered.

22

22 DISPUTES

22.1 Any and all disputes, including applications for injunctive or interim relief, relating to and/or arising from these Terms of Business and/or agreements to which these Terms of Business apply, will be submitted to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

22.2 Notwithstanding the foregoing, the Contractor will remain entitled to bring legal action before any other court that has jurisdiction over the Customer or its assets under mandatory law.

23

23 THIRD-PARTY CLAUSE

23.1 The Customer acknowledges and, to the extent necessary, agrees that ownership of the rental object may be (or may have been) transferred to a third party, or that the rental object may have been (or may be) pledged or otherwise given as security to a third party for the payment of all amounts that such third party has, or may have, a claim to from the Contractor, whether under rental and/or finance lease agreements or for any other reason.

23.2 Notwithstanding the existence of the rental agreement, the rental object will be surrendered to a third party first, without the Customer being entitled to exercise any right of retention, as soon as and to the extent that third party demands delivery of the rental object on the basis of the Contractor's non- fulfilment of its obligations towards that third party. As a result, the rental agreement then in effect will be dissolved with immediate effect. Delivery as aforesaid must take place at the offices of the third party or at another location designated by that third party.

23.3 If the situation described in Article 23.2 arises and the Customer wishes to continue using the rental object, the Customer is obliged, at the third party's first request, to enter into a lease with that third party for the remaining term of this Contract, on identical terms.

23.4 The Parties fully exclude the application of any statutory rule under UAE law that would otherwise provide that a transfer of ownership, or the creation of a security interest, over the rental object does not affect an existing lease of that object; this Article 23 applies in its place.

23.5 The third-party clause contained in this Article may not be revoked by either the Customer or the Contractor.
